Terms and Conditions (GTC) (Service contract)
1. Validity & conclusion of contract
1.1. Steuermaus Expat Tax Service (hereinafter "Steuermaus") provides its services solely on the basis of the following terms and conditions. These apply to all legal relationships between the Steuermaus and the customer, even if not expressly referred to.
1.2. In each case, the version of the terms and conditions valid at the time of the conclusion of the contract shall be decisive. Deviations from these as well as other supplementary agreements with the customer are only effective if they are confirmed in writing by the Steuermaus.
1.3. Changes to the general terms and conditions will be announced to the entrepreneurial customer in writing and shall be deemed agreed if the customer does not object in writing to the changed conditions within 14 days. The customer is expressly advised of the importance of silence in the communication.
1.4. Business and purchasing conditions of the customer are not accepted, unless otherwise agreed in individual cases and in writing. The Steuermaus expressly contradicts the terms and conditions of the customer. A further objection to the terms and conditions of the customer by the Steuermaus is not required.
1.5. Should individual provisions of these general terms and conditions be invalid, this does not affect the liability of the remaining provisions and the contracts concluded on their basis. The ineffective provision shall be replaced by an effective one which comes closest to the purpose.
2. Offers and prices
2.1. All offers of the Steuermaus are non-binding.
2.2. The prices depend on the number of hours and the chosen package. The currently valid prices are available online at www.steuermaus.com or can be requested by e-mail at email@example.com.
2.3. The prices stated at the time of booking are non-binding. The price list valid at the time of booking is used. The Steuermaus reserves the right to change prices, errors and misprints. The Steuermaus will issue a counter offer to the customer in the event of price changes, errors and typographical errors during the booking process.
2.4. The customer acknowledges that the use of the services offered by the Steuermaus is subject to a charge.
2.5. Customers based in Germany are responsible for the correct discharge of the applicable VAT to the tax authorities of their country. The Steuermaus charges to non-German business customers within the meaning of the reverse charge procedure exclusively net, without VAT.
3. Contract language, contract conclusion and acceptance
3.1. The contract language is English.
3.2. The customer has the opportunity to book the time packages online at www.steuermaus.com or to commission the Steuermaus by signing a non-binding offer issued by the Steuermaus. The customer receives written offers by prior arrangement with the Steuermaus by e-mail.
3.3. A booking of the customer represents an offer to the Steuermaus. A valid conclusion of the contract is only concluded after the acceptance of the Steuermaus. The customer binds himself after reservation for three days to its offer.
3.4. After the booking has been received, the customer will receive an automatic confirmation of receipt by e-mail to the e-mail address provided by the customer. This confirmation of receipt represents an acceptance of the contract.
3.5. The Steuermaus reserves the right to refuse bookings without giving reasons. Any payments already made by the customer will be fully refunded in this case.
3.6. The contract concluded will be saved by the Steuermaus.
4. Service offer
4.1. The Steuermaus offers his client the working time / work performance of a tax consultant in various packages. After acceptance of the contract, the customer has the option of providing the consultant with a one-time or regularly recurring task. The corresponding scope of services or areas of responsibility can be found in the corresponding package details (point 5).
4.2. It is the sole responsibility of the customer to choose the right package for him according to his estimate of working hours.
4.3. These work orders can be sent by e-mail, by telephone or via communication channels agreed in advance with the customer in writing.
4.4. The Steuermaus will reconfirm the receipt of the work order, check the information provided by the customer and, if necessary, ask any further questions or obtain any missing information from the customer.
4.5. At no time does the consultant work in the customer's premises, but in the Steuermaus's offices, in his own rooms or on the road. The customer can not determine the place of work of the consultant.
4.6. The customer is not entitled to the allocation or retention of a particular consultant of the Steuermaus. The Steuermaus selects the appropriate consultant for the client in order to perform its tasks as best as possible. The Steuermaus is entitled to exchange the assigned consultant in the existing contractual relationship.
4.7. If work requested by the customer requires access to certain programs or third-party software or cloud solutions, this access / program shall be provided by the customer or, in consultation with the customer, in the name and at the customer's expense purchased by the Steuermaus.
5. Packages and scope of services
The customer acquires a ones-off hourly package, to be determined by the customer, which can be used within a period of 24 months from the acceptance of the contract by the customer to delegate work tasks to the assigned consultant. Within the booked number of hours any number of work orders can be transmitted to the Steuermaus.
The contract ends automatically 12 months after acceptance of the contract or after exhaustion of the hourly package by the customer. After 12 months, the customer will not reimburse or credit any unused hours. This also applies to after the booking by the customer completely unused hourly quotas. This contract is not extended automatically after expiry and does not require notice.
Scope of services:
The services correspond to the example tasks listed on the respective product page. The Steuermaus has the right to refuse tasks that deviate substantially from the examples given. Additional or deviating tasks must be agreed in advance between the Steuermaus and the customer in writing.
6. Timing and time recording
6.1. The time billing takes place in all packages by 5-minutes-sessions. Each started task will be charged with at least 5 minutes. Tasks that exceed 5 minutes will be rounded up accordingly.
6.2. The Steuermaus must ensure a complete and traceable record of the working hours applied to the customer.
6.3. Work breaks are not debited to the customer from the booked hourly quota.
6.4. The current hourly quota available to the customer will be communicated to the customer upon request.
7.1. Terminations must be made in writing (by e-mail to firstname.lastname@example.org or by post to the address stated in the Terms and Conditions).
7.2. Customer unused or expired hourly quotas will not be credited or refunded. If the package was purchased via PayPal, the customer agrees already with the purchase of the time package, the client will not to make use of his buyer protection.
8. Terms of payment
8.1. Unless otherwise agreed in writing, the package selected by the customer shall be due for payment without deductions within 7 days of the invoice date after acceptance of the contract and invoicing.
8.2. The customer receives from the Steuermaus the possibility in the online booking system to pay the due amount via PayPal directly.
8.3. The time package booked by the customer will be activated by the Steuermaus after acceptance of the contract.
9. Electronic accounting
9.1. The Steuermaus is entitled to send the customer invoices in electronic form by e-mail. The customer expressly agrees to the sending of invoices, payment reminders and reminders in electronic form. At the express request of the customer receives these invoices in addition by post. For the receipt / deadline run, however, the electronic delivery prevails.
10. Obligation of the customer to cooperate
10.1. The customer is obliged to participate actively, if this is necessary for the execution of the work order to be completed. In particular, the customer must provide all necessary documents, information, deadlines and the desired workmanship in good time.
10.2. The customer has to ensure that electronically as well as postal or personally transmitted information and files function properly and are virus-free. Damage resulting from faulty data and documents submitted by the customer must be completely replaced or paid by the customer.
10.3. The customer is responsible for providing the Steuermaus with sufficient work tasks in order to be able to use up the hourly quota booked by the customer. For hours not consumed by the customer there is no pro rata or complete time or value credit.
10.4. In the event of non-compliance by the customer, the Steuermaus reserves the right to cancel the deadlines of the work orders concerned agreed with the customer or to completely cease work on the work order concerned after setting a reasonable deadline for completing the work. The working time up to this point by the Steuermaus for the work order concerned will, as usual, be deducted from the booked hourly quota. A proportionate or complete time or value credit by the Steuermaus does not occur.
11. Provision of work results
11.1. Work results will be sent by the Steuermaus to the customer electronically by e-mail and, if necessary, with attachment or via download link.
11.2. Alternative transmission paths must be clarified in advance between both parties in writing. The costs for postage incurred for this are to be borne entirely by the customer and are either settled directly by the customer or invoiced by the Steuermaus.
11.3. The Steuermaus must ensure that the transmitted files and attachments work properly and are free from viruses. There is no liability for falsification, mutilation or other damage resulting from the transmission.
12. Dates and deadlines
12.1. The deadlines specified by the Steuermaus for work orders shall be deemed not binding, unless otherwise confirmed in writing by the Steuermaus.
12.2. The deadlines are to be set according to the expected workload.
12.3. A work order shall be deemed to have been completed if it has been made available to the customer by e-mail or in the manner previously agreed in writing.
12.4. The deadlines specified by the customer can only be met if he provides all the necessary information, documents, access data and other necessary tools in a timely manner. If this information is not provided on time, the deadline will be extended accordingly.
12.5. The Steuermaus may extend periods if work orders prove to be unpredictably more extensive or the customer subsequently increases the work order.
12.6. The Steuermaus must inform the customer as soon as possible about the non-compliance with the deadline and indicate a new estimated deadline.
13. Performance Deficiencies
13.1. Defective workmanship for completed work orders must be submitted in writing within 7 days after transmission to the customer by e-mail stating the deficiencies. The customer may not have made any changes to the submitted work results.
13.2. The customer has to grant the Steuermaus a reasonable deadline to remedy the defect.
13.3. If the Steuermaus allows agreed grace periods to remedy the defect without remedy the defect, the customer may claim an appropriate value or time credit.
13.4. Warranty claims do not entitle the entrepreneurial customer to withhold or independently reduce agreed payments
